1. Agreement to Terms
These Terms of Service (“Terms”) are a legal agreement between you (“Client,” “you,” or “your”) and Apex Automate (“Company,” “we,” “our,” or “us”) governing your access to and use of our website, products, messaging programs, and services (collectively, the “Services”).
By accessing or using our Services, including SMS communications, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
2. Services Provided
Apex Automate provides AI-powered tools, marketing services, automation systems, consulting, messaging services, and related products. We may update, modify, or discontinue any part of the Services at any time without notice.
3. Eligibility
You must be at least 18 years old and have the authority to enter into a legally binding agreement to use our Services.
4. Client Responsibilities
You agree to:
Provide accurate and complete information
Obtain necessary rights and permissions for any data you submit
Use our Services only for lawful purposes
Comply with all applicable laws and telecommunications regulations
You are responsible for ensuring your use of our Services complies with all local, state, and federal laws.
5. SMS Messaging Program Terms
SMS Use Cases
By providing your mobile number and opting in, you agree to receive SMS text messages from Apex Automate related to:
Appointment confirmations and reminders
Service notifications
Account updates
Customer support communications
Marketing and promotional messages (where applicable)
Message frequency may vary depending on user interaction and service engagement.
Opt-Out Instructions
You may opt out of SMS communications at any time by replying:
STOP to unsubscribe
HELP for assistance
You may also contact us at danielibraev@apexautomate.ai to request removal.
After opting out, you will receive one final confirmation message. No further SMS messages will be sent unless you opt back in.
Message & Data Rate Disclosure
Message and data rates may apply depending on your mobile carrier and service plan. Apex Automate is not responsible for charges imposed by your carrier.
Carrier Liability Disclaimer
Mobile carriers are not liable for delayed or undelivered messages.
Consent
By opting in, you confirm:
You are the account holder or have permission from the account holder
You consent to receive recurring automated text messages
Your consent is not a condition of purchase
We maintain records of consent in compliance with telecommunications regulations.
6. Payments & Billing
All fees are due as specified in your invoice or agreement.
Payments must be made before services are rendered unless otherwise agreed in writing.
Late payments may incur additional fees.
All sales are final unless otherwise stated in writing.
We reserve the right to suspend or terminate services for non-payment.
7. AI Content Disclaimer
Our AI tools generate content based on your inputs. Outputs are provided “as is” without guarantees of accuracy or suitability.
You are responsible for reviewing and approving AI-generated content before use.
Apex Automate is not liable for errors or consequences arising from reliance on AI outputs.
8. Intellectual Property
All intellectual property rights in our Services remain the exclusive property of Apex Automate or our licensors.
You may not copy, modify, distribute, reverse-engineer, or create derivative works without written permission.
You grant us a limited license to use submitted content solely to provide the Services.
9. Confidentiality
We will not disclose your confidential information except as necessary to provide Services or as required by law.
10. Prohibited Uses
You may not use our Services to:
Violate laws or regulations
Infringe intellectual property rights
Send unlawful spam or fraudulent messages
Distribute malicious content
Interfere with our systems
11. Limitation of Liability
To the fullest extent permitted by law:
Apex Automate shall not be liable for indirect, incidental, special, consequential, or punitive damages.
Total liability shall not exceed the amount paid by you in the three (3) months preceding the claim.

You agree to indemnify and hold harmless Apex Automate from any claims arising from:
Your use of the Services
Your SMS communications
Your violation of these Terms
